Terms of Use

 1 (General Provisions)
 These Terms of Use (“Terms”) define the rights and obligations between Nabejan LLC (the “Company”), which operates JapaneseMFG (the “Service”), and users of the Service (“Users”).
 By using the Service, Users are deemed to have agreed to these Terms.
 These Terms apply to both Buyers and Suppliers.

 2 (Definitions)
 Terms used in these Terms shall be defined as follows:

  • “Buyer”: A company that makes business inquiries or requests to Suppliers through the Service.

  • “Supplier”: A company that registers its corporate and product information on the Service and seeks business opportunities.

  • “Content”: Any information posted or transmitted by Users on the Service, including text, images, videos, and documents.

 3 (Registration)
 Users may use the Service by completing registration through a method specified by the Company.
 All registration information must be truthful and accurate. If false information is provided, the Company reserves the right to suspend or delete the relevant account.

 4 (Service Overview)
 The Service provides matching opportunities between Japanese manufacturers and domestic or international companies.
 The conclusion of transactions and negotiations shall be conducted at the sole responsibility of the Users. The Company is not a party to any such contract.

 5 (Prohibited Conduct)
 The following activities are prohibited:

  • Acts that violate laws or public order and morals

  • Providing or registering false information

  • Impersonation of others

  • Infringement of rights of the Company or third parties

  • Interference with the operation of the Service

  • Transactions involving weapons, military equipment, nuclear/chemical/biological weapons, illegal drugs, counterfeit goods, hazardous waste, or other products restricted or prohibited by law

  • Transactions that promote conflict or war, or involve products that may be used for military purposes in sanctioned countries or regions (e.g., Russia, North Korea, Iran, Syria)

 6 (Intellectual Property)
 Copyrights of content posted by Users remain with the User. However, the Company may use such content free of charge for the purposes of service operation, publicity, or marketing.
 Users warrant that their content does not infringe on the rights of any third party.

 7 (Compliance with Export Control Regulations)
 Users shall comply with applicable export control laws and regulations, including the Foreign Exchange and Foreign Trade Act of Japan and U.S. re-export controls.
 Users shall independently determine whether their products are subject to list or catch-all controls, and obtain necessary licenses when required.
 Users shall confirm end-users and intended uses appropriately and retain records as needed.
 The Company may refuse or delete registration if a product or user is deemed subject to regulation.
 Users shall be liable for any damages caused to the Company by their violation of this .

 8 (Exclusion of Anti-Social Forces)
 Users represent and warrant that they are not and will not be involved with anti-social forces (e.g., organized crime groups).
 If a User is found to be involved with such forces, the Company may terminate the User’s registration and transactions immediately without prior notice.

 9 (Confidentiality)
 Both Users and the Company shall not disclose any confidential information obtained through the use of the Service, including personal information, to any third party.

 10 (Disclaimer)
 The Company provides matching opportunities only and assumes no responsibility for transaction outcomes, including quality, delivery, or timing.
 The Company is not liable for any interruption of the Service or data loss unless caused by willful misconduct or gross negligence.

 11 (Suspension and Termination of Use)
 The Company may suspend or terminate a User’s access without prior notice in the following cases:

  • Violation of these Terms

  • Previous history of suspension

  • Other reasons deemed inappropriate by the Company

 12 (Fees and Charges)
 The Service is generally provided free of monthly charges. However, fees may apply to optional services, advertisements, or special support.
 In the event of a successful transaction, a commission set by the Company will be charged to the Supplier.
 Bank transfer fees incurred during payment by the Company will be borne by the Supplier.

 13 (Handling and Deletion of Data)
 Upon withdrawal or termination of the contract, the Company will delete or anonymize registered data within a reasonable period, unless retention is required by law or for legitimate business purposes.

 14 (Subcontracting)
 The Company may outsource all or part of the Service operations to a third party.

 15 (Disputes Between Users)
 In the event of a dispute between Users, the parties shall resolve the matter through good-faith discussions. The Company will not be involved and assumes no liability.

 16 (Secondary Use of Business Data)
 The Company may use business history and access information in anonymized form for quality improvement, statistical analysis, or promotional activities.

 17 (Personal Information Handling)
 The handling of personal information in the Service shall be governed by the Company’s separate Privacy Policy.

18 (Amendments to the Terms)
 The Company may revise these Terms as necessary. Continued use of the Service after such revisions constitutes acceptance of the updated Terms.

20 (Governing Law and Jurisdiction)
 These Terms shall be governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any disputes between the Company and Users.

Supplementary Provision:
 These Terms shall come into effect on June 1, 2025.
